Terms of Use

These Terms of Use govern access to and use of the Custiligence website and related public content provided by Customer Diligence Intelligence, LLC, doing business as Custiligence.

By accessing the website, submitting a form, or communicating with Custiligence through the website, you agree to these Terms. If you do not agree, do not use the website.

These Terms are intentionally separate from any statement of work, master services agreement, nondisclosure agreement, data processing term, or other written agreement for a paid or confidential engagement. If a separate written agreement conflicts with these Terms, that written agreement controls for the subject matter it covers.

  1. Custiligence and the website

    Custiligence provides information about customer diligence workflows for fundraising and related business conversations. The website is provided for general business information, evaluation, and communication purposes.

    The website does not itself create a client relationship, fiduciary relationship, advisory relationship, investor relationship, partnership, joint venture, employment relationship, agency relationship, or confidential engagement between you and Custiligence.

  2. Acceptance and authority

    If you use the website on behalf of a company, fund, partnership, employer, or other organization, you represent that you have authority to act for that organization in connection with your website use and submissions.

    You are responsible for ensuring that your use of the website and any information you provide complies with laws, agreements, duties, policies, and permissions that apply to you and your organization.

  3. Separate engagement terms

    Submitting a contact form, intake form, message, customer reference detail, diligence context, or similar information starts a business discussion only. It does not require Custiligence to accept an engagement, perform services, preserve a specific process, or provide any particular deliverable.

    Any paid service, confidential workflow, customer diligence project, investor-facing process, or custom deliverable should be governed by a separate written agreement that addresses scope, fees, timing, confidentiality, permissions, deliverables, data handling, and other project-specific terms.

  4. Permitted use

    You may use the website for lawful business evaluation, research, and communication with Custiligence. You may not use the website for any purpose that interferes with Custiligence, other users, service providers, or the security or operation of the website.

  5. Prohibited conduct

    You agree not to misuse the website or related systems.

    • Do not submit false, misleading, unlawful, confidential, infringing, malicious, or unauthorized information.
    • Do not attempt to access systems, data, accounts, forms, endpoints, logs, or infrastructure that are not intended for you.
    • Do not probe, scan, test, disrupt, overload, scrape at abusive volume, bypass security, reverse engineer, or interfere with the website or its providers.
    • Do not use bots, scripts, crawlers, automation, or similar tools in a way that violates law, ignores reasonable restrictions, or burdens the website.
    • Do not transmit malware, spam, phishing content, harmful code, or other abusive material.
    • Do not use the website to violate any duty owed to an employer, customer, investor, portfolio company, reference participant, or other third party.
  6. Submissions and permissions

    You are responsible for all information you submit to Custiligence through the website or related communications. You represent that you have all rights, permissions, notices, and consents needed to provide that information and to allow Custiligence to use it for the purposes described in these Terms, the Privacy Policy, and any applicable written agreement.

    You grant Custiligence a non-exclusive, worldwide, royalty-free license to host, copy, process, transmit, review, summarize, use, and disclose your submissions as reasonably necessary to respond to you, evaluate potential work, operate the website, protect the business, improve internal processes, measure website analytics, comply with law, and provide any requested or agreed services.

    Do not submit information that Custiligence should not receive, review, process, or store. Custiligence has no obligation to treat unsolicited submissions as confidential unless a separate written agreement says so.

  7. Customer and reference information

    Customer diligence workflows can involve sensitive commercial relationships. If you provide customer account names, contact details, reference information, interview context, or other third-party business information, you are responsible for confirming that the information may be shared with Custiligence and used for the requested purpose.

    Custiligence may rely on the information, instructions, permissions, and context supplied by founders, investors, companies, customer reference participants, and other authorized engagement contacts. Custiligence is not responsible for disputes caused by inaccurate, incomplete, unauthorized, or misleading information supplied by you or on your behalf.

    Unless a separate written agreement says otherwise, Custiligence may decline, suspend, narrow, or stop a diligence workflow if Custiligence believes the requested process could create unacceptable legal, trust, confidentiality, operational, reputational, or relationship risk.

  8. Confidentiality boundaries

    The public website and ordinary inbound forms are not a secure channel for highly sensitive or regulated information. Do not submit trade secrets, credentials, health information, payment card data, consumer financial account data, government identifiers, or other unnecessary sensitive information unless Custiligence has requested it through an appropriate process.

    Confidentiality obligations for a specific engagement must be stated in a separate written agreement. Custiligence may use and disclose website submissions as described in these Terms and the Privacy Policy unless a separate written agreement provides otherwise.

  9. Feedback

    If you provide ideas, suggestions, requests, comments, improvements, or other feedback about Custiligence, the website, services, workflows, templates, positioning, deliverables, or business model, you grant Custiligence a perpetual, irrevocable, worldwide, royalty-free right to use that feedback without restriction or compensation.

  10. Custiligence content and intellectual property

    The website, brand assets, copy, structure, workflows, page designs, graphics, names, logos, service concepts, templates, and other materials made available by Custiligence are owned by Custiligence or its licensors and are protected by intellectual property and other laws.

    Except for the limited right to view the website for lawful business purposes, no rights are granted to copy, modify, distribute, display, perform, sell, license, frame, scrape, reverse engineer, or create derivative works from Custiligence content without written permission.

  11. No professional advice

    Website content is provided for general business information only. Custiligence does not provide legal, investment, accounting, tax, compliance, valuation, broker-dealer, securities, fundraising, or other regulated professional advice through the website.

    You should not rely on website content as a substitute for advice from qualified professionals. You are responsible for your own business, legal, financial, investment, customer, investor, and fundraising decisions.

  12. No guarantees

    Custiligence does not guarantee that use of the website or any discussion with Custiligence will result in a signed engagement, successful fundraise, investor interest, investor approval, customer participation, customer satisfaction, revenue outcome, valuation outcome, diligence result, or other business outcome.

    Any examples, descriptions, packages, timelines, process statements, or expected outcomes on the website are illustrative only unless expressly included in a separate written agreement signed by Custiligence.

  13. Third-party services

    The website may rely on or link to third-party services, infrastructure, forms, security tools, fonts, hosting, email, analytics, scheduling tools, or external websites. Custiligence may process submitted messages, raw IP address, IP hash, Cloudflare-derived geography, and identifiable analytics exports through those systems as described in the Privacy Policy. Custiligence does not control third-party services and is not responsible for their content, availability, security, privacy practices, or terms.

    Your use of third-party services may be governed by their own terms and policies.

  14. Availability and changes

    Custiligence may change, suspend, withdraw, restrict, replace, or discontinue any part of the website, content, forms, routes, features, service descriptions, pricing references, packages, or availability at any time without notice.

    Custiligence does not promise that the website will be uninterrupted, error-free, secure, current, complete, compatible with your systems, or available in any particular location.

  15. Disclaimers

    To the maximum extent permitted by law, the website and all website content are provided as is and as available, without warranties of any kind, whether express, implied, statutory, or otherwise.

    Custiligence disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and any warranties arising from course of dealing, usage, or trade practice.

  16. Limitation of liability

    To the maximum extent permitted by law, Custiligence and its owners, officers, employees, contractors, service providers, representatives, and affiliates will not be liable for indirect, incidental, consequential, special, exemplary, punitive, enhanced, or lost-profit damages, or for lost revenue, lost business, lost opportunity, lost data, loss of goodwill, customer relationship harm, fundraising harm, or investor relationship harm arising out of or related to the website or these Terms.

    To the maximum extent permitted by law, Custiligence's total liability for any claim arising out of or related to the website or these Terms will not exceed one hundred dollars. If a separate written agreement provides a different liability standard for paid services, that written agreement controls for those paid services.

  17. Indemnity

    To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Custiligence and its owners, officers, employees, contractors, service providers, representatives, and affiliates from and against claims, demands, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your website use, submissions, violation of these Terms, violation of law, infringement or misappropriation of rights, breach of duties to third parties, or information you provide to Custiligence.

  18. Suspension and enforcement

    Custiligence may restrict, block, suspend, or terminate access to the website, decline to respond to submissions, preserve records, remove content, or take other steps Custiligence considers appropriate if it believes these Terms have been violated or if access creates legal, security, operational, reputational, relationship, or business risk.

    Custiligence's failure to enforce any provision of these Terms does not waive its right to enforce that provision later.

  19. Changes to these Terms

    Custiligence may update these Terms from time to time. The updated Terms will be posted on this page with a revised effective date. Continued use of the website after an update means you accept the updated Terms.
